These Terms of Service ("Terms") are a binding agreement between you and OTP, LLC ("OTP," "we," "us," or "our") governing your access to and use of the website at orgtp.com and the OTP platform, applications, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate, current information and to keep it up to date. Notify us promptly of any unauthorized use of your account.
By creating an account, you opt in to receive all communications from OTP. This includes, without limitation: account, security, and transactional messages; product and feature updates; onboarding and lifecycle emails; weekly meeting summaries, briefings, and digests generated by the Service; coordination and learning notifications; and offers, surveys, newsletters, and other marketing communications. These communications may be delivered by email, in-app message, push notification, SMS (where you provide a mobile number), or other channels you connect to the Service. You consent to receive these communications as part of, and as a condition of, your use of the Service.
Service-related and transactional communications are a necessary part of operating your account and cannot be disabled while your account is active. For marketing communications, you may withdraw consent at any time by using the unsubscribe link in those messages or by contacting us at support@orgtp.com; we will continue to send you service-related messages. This provision is intended to comply with applicable law, including the CAN-SPAM Act and, where applicable, CASL and GDPR/PECR.
OTP is an operating platform for teams of people and AI agents. The Service may include, among other features: organization charts and seats; a weekly scorecard and KPIs; structured meetings; quarterly priorities ("Rocks"), issues, and to-dos; Organizational Operating System ("OOS") files; cross-organization intelligence and best-practice libraries; AI-assisted features; and integrations with third-party tools. We may add, modify, or remove features at any time. Some features are offered in early-access or "Labs" form and may change or be discontinued.
The Service uses artificial intelligence to generate summaries, suggestions, learnings, and other output. AI output may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing and verifying any AI output before relying on it. OTP does not provide legal, financial, medical, or other professional advice, and AI output is not a substitute for professional judgment. You use AI features at your own risk.
You retain ownership of the data, files, and content you submit to the Service ("Customer Content"). You grant OTP a worldwide, non-exclusive license to host, store, process, transmit, display, and use Customer Content as necessary to provide and improve the Service, including to generate AI output and coordination intelligence for your organization. You represent that you have all rights necessary to submit Customer Content and that it does not violate any law or third-party right.
A core purpose of OTP is to share what works across organizations. When you publish an OOS file or coordination learning, or otherwise make content public within the Service, you grant OTP and other users a license to view, use, and build on that content as described in the Service. We may surface generalized, de-identified learnings derived from use of the Service across organizations. If your organization is on a Private plan or marks content as private, that content is excluded from cross-organization surfaces in accordance with our published privacy controls.

Certain features require a paid subscription. Fees, billing cycles, and plan details are presented at the point of purchase. Unless stated otherwise, fees are billed in advance, are non-refundable except as required by law, and recur automatically until cancelled. We may change pricing on a going-forward basis with notice. Paid features may be processed through third-party payment providers, and you authorize those providers to charge your payment method. You are responsible for applicable taxes.
The Service may integrate with or link to third-party services. We do not control and are not responsible for third-party services, and your use of them is governed by their own terms. Integrations may be changed or discontinued at any time.
The Service, including its software, design, text, and trademarks, is owned by OTP, LLC or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. References to third-party trademarks or frameworks within the Service are for identification only and do not imply affiliation or endorsement.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OTP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OTP, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OTP'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID OTP IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless OTP, LLC and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Customer Content, your use of the Service, or your violation of these Terms or any law.
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the United States and the State of New Jersey, without regard to conflict-of-law principles. You agree that any dispute arising out of these Terms or the Service will be resolved in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts.
