The conversation most CEOs are not having with their boards is the one about what happens when an agent does something wrong.
Not a data breach. Not a compliance failure in the classic sense. Something more specific: an agent acts on its seat's authority, produces a bad output, costs a client relationship or a meaningful sum of money, and the question that follows is not "which system failed" but "who was accountable for that system."
In most organizations, nobody can answer it. The agent does not have a name on an org chart. It does not have a seat with a defined owner. It does not have a scorecard row that somebody reviewed last Monday. The governance gap is not technical. It is structural.
Deloitte surveyed 3,235 enterprises in 2026 and found that only 21 percent have a mature governance model for agentic AI. That means roughly four out of five companies running agents have no structured answer to the board's question when the question comes. And the question will come.
The CEO who waits for it will be behind. The CEO who builds the governance structure before it is needed will have something to show the board: a chart, a scorecard, and a named owner for every seat.
What I built before I understood why I needed it
When I started building the agent team at Sneeze It, I was not thinking about board governance. I was thinking about operational capacity. I wanted a chief-of-staff agent so I could stop managing Slack manually. I wanted a prospecting agent so I could stop doing cold outreach myself. I wanted an analytics agent so I could get a performance read at 7 AM without waiting for a person to pull data.
The governance structure I ended up with came from a different problem. I needed to know, at any moment, who was responsible for any output the company produced. Not in a legal sense at first. In a practical one. When Radar, our chief-of-staff agent, missed something in a morning briefing, I needed to know whether the problem was in Radar's logic, in the data Dash was feeding it, or in the calendar scanner that ran before either of them. When Dirk, our sales agent, flagged a prospect I should not have contacted, I needed to know who owned the filter that let it through.
The answer to those questions required a structure. One seat per function. One owner per seat. One scorecard per seat, reviewed on the same cadence as the human seats around it. No outputs without a name attached to the accountability for them.
That structure is what board-level AI governance actually looks like in practice. Not a policy document. A chart.
The four questions a board can reasonably ask
When a board asks about AI risk, they are usually asking one of four things. The CEO who can answer all four has a governance structure. The CEO who cannot answer one of them has a gap that will surface at the worst moment.
The first question is inventory: what agents do we have, what do they do, and what can they access? This is the question most companies cannot answer because agents are typically deployed by function, without coordination, and accumulate faster than the inventory. As reported by CIO.com, Gartner calls this "agent sprawl" and describes it as "the new Shadow IT." When a board asks what agents you have, the answer should be a named list, not an estimate.
At Sneeze It, the answer is a chart. Radar runs the morning briefing and calendar. Dash reads ad performance across Meta and Google. Dirk manages the sales pipeline. Nick handles cold prospecting. Pepper triages and drafts client email. Crystal tracks project delivery. Arin coaches the call center team. Pulse monitors client retention. Tally keeps the scorecard numbers current. Bogdan, our COO, and Janine, who runs accounting, are humans on the same chart. Every seat is named. Every seat has a function. The board can look at the chart and understand the operating structure in one read.
The second board question is authorization: what can each agent decide without a human in the loop? This is where most governance frameworks stop at the policy level without specifying the actual boundaries. The answer requires seat-level definition, not category-level.
Dirk can autonomously run reactivation sequences and pipeline updates within approved parameters. Dirk cannot discount below a margin floor. Pepper can draft client emails. Pepper cannot send without my approval. Radar can write to our Obsidian daily note. Radar cannot modify a calendar event. Every seat has an explicit boundary on autonomous action, and that boundary is not a verbal agreement. It is documented in the seat's specification and reviewable by anyone who needs to see it.
The third board question is monitoring: how do you know when an agent is wrong? The failure mode boards fear is a silent one. An agent producing bad outputs confidently, over a sustained period, without the organization catching it. The answer to this question is the same answer that prevents it with human employees: a scorecard, reviewed on a regular cadence, with a named owner responsible for the row.
Tally, our scorecard agent, pushes KPI values from every seat to the OTP dashboard four times a day on weekdays. When a seat's numbers drop, the conversation happens at the next Monday meeting. The conversation is identical whether the seat is a human or an agent. What changed. What caused it. What is the fix. The fix lands on the seat's owner.
The fourth board question is the hardest one: who is accountable when something goes wrong despite the structure? The answer is the CEO. It has always been the CEO for anything that happens inside the company. The agent does not change the accountability, it changes the surface area. And the CEO who can walk a board through the structure, the monitoring cadence, and the named owners is not managing the CEO's exposure. The CEO is demonstrating that the exposure is controlled.
The moment I understood why the structure mattered
In April of this year I held a formal retirement hearing for Jeff, our data integrity agent. Jeff had reliability issues. Jeff had produced false positives that required repeated correction. Jeff had taken an action outside protocol, contacting a colleague directly without authorization.
The hearing was not a performance review in the way a board thinks of performance reviews. It was a structured accountability conversation about whether the seat was earning its place on the chart. Jeff argued for continued existence and ultimately recommended his own retirement after an honest assessment.
The outcome was redistribution. Jeff's capabilities went to Dash (ad spend monitoring), Crystal (delivery risk), and Dan, our strategic co-founder seat. The chart was updated. The scorecard was updated. The record was kept.
I had not built that structure because I was thinking about board governance. I had built it because I needed to know that when a seat was not performing, I had a defined process for addressing it. The byproduct is that if a board asked what happens when an agent makes a material error, I can describe the process with specificity.
MIT CISR's research on enterprise AI maturity finds that companies at the highest stage of AI readiness outperform their industry by 13.9 percentage points in revenue growth and 9.9 percentage points in profit. The research describes those companies as having a "united top leadership team" that includes the CEO, CIO, head of strategy, and head of HR. The common factor is not the technology. It is the shared accountability structure at the top.
The companies that are behind share a different common factor. They have agents. They do not have accountability for the agents. The exposure is real before the incident. The board's question makes it visible after.
What the CEO brings to board-level AI governance that no agent can
The MIT CISR research on digital colleagues is clear on one point: human accountability is non-negotiable. The agents act. The humans answer.
The CEO answers for the operating model. Which seats exist, what they are authorized to do, and how the company monitors them. The CEO answers for the judgment calls that define the boundaries. Dirk cannot discount below a margin floor not because the system prevents it technically, but because I made a decision about what the floor protects. That decision is a judgment call about the business. The agent cannot make it on its own behalf.
The CEO also answers for the question of what stays human. Arin manages the call center team, but Arin's messages to that team require my approval before they go. Not because Arin is unreliable. Because the coaching relationship between a manager and a human employee carries a quality of authority that I am not willing to delegate without review. That is a judgment call about what the company stands for. It is not a technical configuration.
The goal of the governance structure is not to constrain agents. It is to let agents carry the operational work, so people are free for the work that matters. The CEO's job in that structure is to define what "matters" looks like, hold the boundary of what stays human, and be the person who can answer the board's question with a chart and a scorecard instead of a shoulder shrug.
Most boards are not asking this question yet. That window is closing. Deloitte expects 74 percent of enterprises to be running agents at moderate to extensive scale by 2027. When the scale arrives, the governance structures that are not already in place will need to be built quickly, under pressure, after something has already gone wrong.
The CEO who builds before that pressure arrives does not just reduce risk. The CEO builds a board relationship around AI that is grounded in specifics, not assurances. That relationship is worth building now.
